Gridly AI Terms

These Gridly AI Terms (“AI Terms”) govern your access to and use of Gridly AI (as defined below). They are part of the overall agreement between you (or your organization) and Gridly AB, operating as Gridly (“Gridly,” “we,” “our,” or “us”), which includes your use of Gridly’s Services. This includes any additional agreements such as Gridly’s Terms of Use or a SaaS Services Agreement (collectively referred to as your “Service Terms”). Any capitalized terms in these AI Terms that aren’t defined here will have the meanings given in your Service Terms. For clarity, in these AI Terms, “Customer Data” refers to “Your Content” or a similar term in your Service Terms, and “Services” refers to “Gridly Services” or a similar term in your Service Terms. If there is any conflict between these AI Terms and your Service Terms, these AI Terms will take precedence. 

1. Gridly AI

In these AI Terms, “Gridly AI” refers to the features and functionalities of the Services that use generative artificial intelligence models. Gridly AI operates using third-party AI platforms and model providers listed on this page, which may be updated periodically (each a “Third-Party AI Provider”). By agreeing to and adhering to these AI Terms, we grant you a non-exclusive, revocable, non-transferable, limited right to access and use Gridly AI in accordance with your Service Terms, including these AI Terms.

2. Input and Output

You may provide prompts, data, text, or other input (“Input”) for processing by Gridly AI, and you will receive data generated based on that Input (“Output”). Both Input and Output constitute your Customer Data.

3. Use Restrictions and Third-Party AI Provider Requirements

You are solely responsible for the development, content, operation, maintenance, and use of your Customer Data. You agree and warrant that your Input, use of Gridly AI, and Output will not: (a) violate any applicable laws; (b) breach the Terms of Use, including these AI Terms. Additionally, you must review and comply with the terms and policies of the applicable Third-Party AI Providers, available on www.gridly.com/third-party-ai-providers and updated from time to time, which are incorporated into these AI Terms by reference.

4. Limitations

You acknowledge that, due to the nature of machine learning and the technology behind Gridly AI, the Output may not be unique. Gridly AI may produce similar or identical Output for you and others. You should not rely solely on the Output’s factual assertions without independent verification, as it may contain inaccuracies despite appearing detailed or specific. Gridly AI may not dynamically update its information, and the Output may not reflect events or changes that occurred after the model was trained. Ensure that Output is accurate and suitable for your needs, and consider human review of the Output.

5. Improving Gridly AI

Your use of Gridly AI does not grant Gridly any rights or licenses to use or share Customer Data in a way that conflicts with your Service Terms, unless you have agreed otherwise.

6. Privacy and Subprocessors

If your Customer Data includes Personal Data (or similar), you authorize Gridly and our subprocessors to process this Personal Data to provide Gridly AI and Output. You consent to our use of the Third-Party AI Providers as subprocessors, as listed on www.gridly.com/third-party-ai-providers

7. Suspension and Service Levels

Despite any contrary provisions in your Service Terms, Gridly may suspend your access to any or all of Gridly AI if: (a) we reasonably believe your use violates these AI Terms or poses risks to Gridly, the Services, or third parties; (b) a Third-Party AI Provider requires suspension; (c) a Third-Party AI Provider suspends or terminates Gridly’s access to necessary services or products; or (d) legislation, regulation, or government action prohibits Gridly from providing Gridly AI. Additionally, Gridly makes no warranty regarding the availability or uptime of Gridly AI. Downtime of Gridly AI will not count as downtime under any service level agreement.

8. Beta Features

Gridly may offer you a version or feature of Gridly AI that is not generally available, such as an alpha, beta, limited release, developer preview, or similar (“AI Beta”). AI Beta Features may contain bugs, errors, or omissions and are provided on an “AS IS” basis without warranties, liability, indemnity, or performance obligations. These features are for testing only and may never become generally available. We may discontinue AI Beta Features or revoke your access to them at any time, without liability.

9. Modifications

We may update these AI Terms from time to time, and you should review these AI Terms periodically. We will update the “Last Updated” date at the top of the webpage to reflect changes. For significant changes, we will notify you reasonably before the changes take effect, either by emailing the address associated with your account or through Gridly communication channels. Notice may be given to any account administrator. Continued use of Gridly AI after changes are effective signifies your acceptance of the updated AI Terms. If you disagree with the changes, you must cease using AI features before they take effect. Renewing your subscription or otherwise agreeing to the new AI Terms will signify your consent to the updated terms.
